Terms of Service

Effective date: September 22, 2026

By accessing or using PDR Shop Pro (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. The Service

PDR Shop Pro provides shop management software for Paintless Dent Repair businesses, including work order tracking, commission calculation, payroll reporting, customer management, and related tools. The Service is provided on a subscription basis.

2. Accounts

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate information when creating your account. One subscription covers one shop (tenant). Multi-location use within a single shop is supported under one subscription.

3. Subscriptions and Payment

Subscriptions are billed monthly through Stripe. A 14-day free trial is offered for new accounts; your card is charged on day 15 unless you cancel. Cancellation stops future charges; you retain access through the end of the current billing period. We reserve the right to change subscription pricing with 30 days' notice.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to reverse-engineer, copy, or redistribute the software.
• Use automated tools to scrape or bulk-extract data from the Service.
• Interfere with or disrupt the Service's infrastructure.
• Share your account credentials with individuals outside your shop.

5. Your Data

You own the data you enter into the Service (customer records, work orders, photos, etc.). By using the Service you grant us a limited license to store, process, and display that data solely to operate the Service on your behalf. We do not sell or share your data with third parties except as described in our Privacy Policy.

6. SMS Communications

By enabling SMS alerts in the Service, you confirm that you have obtained any required consents from your staff and customers to receive automated text messages. You are responsible for compliance with applicable SMS marketing and notification laws (TCPA, etc.). You may disable SMS features at any time in Settings.

7. Intellectual Property

PDR Shop Pro and its original content, features, functionality, user interface, workflows, and underlying software are owned exclusively by PDR Shop Pro and are protected by United States and international copyright, trade secret, and other intellectual property laws. All rights are reserved.

You may not, directly or indirectly:

• Reproduce, copy, duplicate, or replicate any portion of the Service or its user interface for any commercial purpose.
• Use any features, workflows, designs, or functionality observed in the Service or its demo to build, assist in building, or improve any competing software product or service.
• Disclose, share, or publish screenshots, recordings, or descriptions of the Service's proprietary features to any third party for competitive purposes.
• Reverse-engineer, decompile, or attempt to extract source code or underlying logic from the Service.
• Remove or obscure any copyright, trademark, or proprietary notices appearing in the Service.

Any feedback, suggestions, or ideas you provide regarding the Service may be used by PDR Shop Pro without restriction or compensation to you.

8. Demo Access and Confidentiality

PDR Shop Pro may provide access to a demonstration version of the Service ("Demo") for evaluation purposes. By accessing the Demo, you acknowledge and agree that:

• The Demo contains proprietary and confidential information belonging to PDR Shop Pro.
• You will not use information, features, or workflows observed in the Demo to develop, assist in developing, or improve any software that competes with the Service.
• You will not share your demo credentials, screenshots, or recordings of the Demo with third parties without prior written consent from PDR Shop Pro.
• Your access to the Demo constitutes your agreement to the intellectual property restrictions in Section 7 and the confidentiality obligations in this Section 8.

PDR Shop Pro reserves the right to revoke Demo access at any time, with or without cause.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by law, PDR Shop Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless PDR Shop Pro from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your account for violation of these Terms, non-payment, or conduct that we reasonably believe harms other users or the Service, with or without prior notice. You may cancel your subscription at any time through the Billing page or by contacting us.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Taylor County, Texas.
